Terms of Use

1. Agreement to These Terms

These Terms and Conditions (“Terms”) are an agreement between you and HyperLocal Technologies Corp., doing business as hyperlocal (“hyperlocal,” “we,” “us,” or “our”), a company based in British Columbia, Canada.

These Terms govern your access to and use of:

the koinē website;
the koinē web or mobile application;
invitations, communications, and notifications sent through koinē;
discovery, check-in, attendance, payment, and support features;
hyperlocal OS as it relates to your use of koinē; and
related products or services that link to or expressly adopt these Terms.

Together, these products, features, and services are referred to as the “Service.”

By creating an account, accepting an invitation, joining or creating a koinē, selecting an acceptance box, completing a transaction, or otherwise using the Service, you acknowledge that you have read and understood these Terms.

If you are legally capable of entering into a binding agreement, you agree to be bound by these Terms.

If you are not legally capable of entering into a binding agreement independently, your use of the Service must be authorized and supervised by a parent, legal guardian, or another person who is legally permitted to act for you where required by applicable law.

If you do not agree to these Terms, do not use the Service.

2. Definitions

In these Terms:

“Account” means an account used to access koinē, hyperlocal OS, or another authorized hyperlocal service.

“Hang” has the same meaning as “koinē.”

“Host” means a person or organization that creates, organizes, manages, or is identified as responsible for a koinē.

“Hub” means a venue, business, school, faith community, community group, organization, or other physical or organizational centre connected to one or more koinēs.

“koinē” means a real-world gathering, activity, group, plan, program, or experience created, discovered, joined, coordinated, or attended through the Service. A koinē may also be called a “Hang.”

“Participant” means a person who is invited to, joins, attends, or otherwise participates in a koinē.

“User Content” means information, messages, images, videos, reviews, descriptions, comments, links, files, or other material submitted through the Service by a user.

“Young User” means a person whom we know or reasonably believe is under 18 years old.

3. About koinē

koinē is designed to help people move from intention to real-world participation.

The Service may allow users to:

create and host koinēs;
discover nearby or relevant koinēs;
invite other people;
join, commit to, or withdraw from a koinē;
communicate with Hosts and Participants;
manage capacity and waitlists;
make or receive payments;
check in at a location;
confirm attendance;
build participation history; and
participate in recurring communities.

A koinē may be:

public;
private;
invite-only;
free;
paid;
recurring;
age-specific;
connected to a Hub or organization; or
made up of multiple locations or activities.

Unless hyperlocal expressly identifies itself as the Host, hyperlocal provides the technology and coordination infrastructure for a koinē but does not organize, operate, supervise, control, endorse, or insure it.

4. hyperlocal OS and Connected Services

koinē is integrated with hyperlocal OS, the underlying technology and participation infrastructure operated by HyperLocal Technologies Corp.

hyperlocal OS may support:

Accounts and authentication;
profiles and preferences;
invitations;
discovery;
koinē creation and management;
commitments and waitlists;
check-ins and attendance;
participation history;
payments and deposits;
Hosts, Hubs, venues, and organizational services;
safety and account enforcement;
analytics and insights; and
connections with other authorized hyperlocal products.

Where offered, your koinē Account may form part of a shared hyperlocal Account.

Certain Account, security, participation, or safety information may be recognized across authorized hyperlocal services as described in the koinē Privacy Policy.

The use of hyperlocal OS does not mean every Host, Hub, organization, or future hyperlocal application automatically receives unrestricted access to your information.

5. Electronic Agreement and Communications

You agree that your electronic acceptance of these Terms may have the same effect as a handwritten signature where permitted by law.

You agree that we may provide agreements, transaction records, receipts, policies, disclosures, and other notices electronically, including through:

the Service;
email;
text message;
push notification; or
another contact method associated with your Account.

You are responsible for keeping your contact information current.

You may save or print a copy of these Terms for your records.

Essential communications relating to security, payments, invitations, cancellations, safety, or changes to the Service may still be sent even if you opt out of promotional messages.

6. Eligibility, Age, and Legal Capacity

koinē is a mixed-audience Service that may be used by adults, teenagers, families, schools, faith communities, sports groups, community organizations, and other groups.

We do not currently require every person to provide their age merely to:

receive an invitation;
be added as a guest;
create a koinē;
join a koinē; or
access certain basic features.

As a result, we may not always know that a user or guest is under 18.

You must not misrepresent your age or identity to avoid legal requirements, safety protections, payment restrictions, or age limits established by a Host, venue, organization, or applicable law.

We may ask for an age, date of birth, age range, parent or guardian confirmation, or other information where reasonably necessary to:

provide age-appropriate protections;
operate a paid feature;
confirm eligibility for a koinē;
comply with law;
protect a Young User; or
address a safety concern.

We may restrict or disable features where a user does not have the legal capacity, consent, authorization, or age required for that feature.

7. Young Users

Young Users may use parts of the Service, subject to these Terms, applicable law, and any protections or restrictions we apply.

7.1 Users Under 13

A person under 13 should use koinē only with the involvement and permission of a parent or legal guardian where required.

If we know or reasonably believe a user is under 13, we may:

request parent or guardian involvement;
restrict public visibility;
restrict messaging;
restrict payments or deposits;
limit location-based features;
limit participation history;
prevent the user from hosting certain koinēs;
restrict cross-product integrations;
suspend Account activation; or
take another reasonable protective step.

If appropriate parent or guardian involvement cannot be confirmed, we may be unable to provide some or all of the Service.

7.2 Users Aged 13 to 17

Users aged 13 to 17 may use the Service where they can reasonably understand the feature, the information involved, and the associated risks.

Parent or guardian involvement may be required or encouraged for:

payments or deposits;
paid memberships;
overnight activities;
travel;
transportation arranged by another user;
high-risk physical activities;
precise-location features;
age-restricted venues;
recurring programs;
sensitive information; or
another activity presenting increased legal, privacy, or safety risk.

7.3 Parent and Guardian Responsibility

Where a parent or guardian authorizes a Young User to use the Service, the parent or guardian should:

review these Terms and the Privacy Policy with the Young User;
supervise the Young User as appropriate;
assess whether a koinē is suitable;
review the identity and qualifications of the Host;
review the time, location, transportation, and supervision arrangements;
approve payments or financial commitments;
help the Young User use privacy and safety controls; and
promptly report unsafe or inappropriate conduct.

Permission for a Young User to use the Service does not mean that hyperlocal has investigated or approved every Host, Participant, venue, organization, or activity.

7.4 Protective Measures

Where we know or reasonably believe a user is under 18, we may apply additional measures, including:

limiting public-profile visibility;
restricting unsolicited messages;
restricting search or discovery visibility;
limiting exact-location disclosure;
limiting reliability indicators;
limiting commercial communications;
restricting paid or high-risk koinēs;
requiring approval from a parent, guardian, Host, or organization; or
removing content that creates a safety risk.

These measures may depend on the information available to us and the technical capabilities of the Service.

8. Accounts

You may need an Account to access some features.

You agree to:

provide accurate and current information;
use only an Account you are authorized to use;
maintain the security of your login credentials;
protect access to your device;
promptly update material Account information;
not allow another person to impersonate you;
not create an Account to evade a restriction or suspension; and
promptly notify us of suspected unauthorized activity.

You may not:

buy, sell, rent, or transfer an Account;
create fraudulent or misleading Accounts;
impersonate another person or organization;
use another person’s Account without authorization;
create multiple Accounts to manipulate attendance, capacity, payments, or ratings; or
share personal check-in credentials with another person.

You are responsible for activity through your Account to the extent permitted by law, except where that activity results from a failure of systems under hyperlocal’s control.

9. Invitations and Guests

A user may invite another person to a koinē or add them as a guest.

When inviting or adding someone, you agree that:

you have an appropriate reason to provide their contact information;
the information you provide is accurate;
you will not use invitations to spam, harass, deceive, or pressure another person;
you will not falsely represent that hyperlocal or a Host endorses the invitation;
you will use reasonable care when inviting a Young User; and
you will obtain any parent, guardian, or organizational permission for which you are responsible.

An invitation does not guarantee admission, attendance, capacity, or acceptance by the Host.

A person may ask us to stop retaining or using invitation information as described in the Privacy Policy.

10. Creating and Hosting a koinē

Anyone may be able to create a koinē, subject to Account status, legal capacity, feature availability, and any restrictions applied by hyperlocal.

By creating or hosting a koinē, you agree to:

provide accurate and complete information;
clearly describe the purpose and nature of the gathering;
provide the correct date, time, and location;
clearly disclose prices, deposits, fees, refund terms, and material restrictions;
identify significant physical, financial, privacy, accessibility, or safety risks;
communicate material changes promptly;
manage capacity and waitlists fairly;
obtain authorization to use the location;
obtain any permits, licences, insurance, waivers, or professional qualifications required;
comply with applicable laws and venue rules;
provide reasonable supervision where required;
protect participant information;
use participant information only for purposes connected to the koinē;
respond appropriately to safety concerns;
respect cancellations and refunds required by law or the stated policy; and
not falsely claim that hyperlocal sponsors, supervises, endorses, certifies, or insures the gathering.

Hosts are responsible for their own conduct and the operation of their koinēs.

A Host may establish reasonable participation requirements, provided that those requirements:

are clearly disclosed;
are relevant to the koinē;
comply with applicable law;
are not unlawfully discriminatory;
do not create an unreasonable safety risk; and
do not conflict with these Terms.

11. Hosts Working With Young Users

A Host who creates or manages a koinē involving Young Users must take appropriate steps to protect them.

Depending on the circumstances, the Host may be responsible for:

identifying the intended age group;
obtaining parent or guardian permission;
confirming that appropriate adult supervision is available;
complying with child-protection and safeguarding obligations;
obtaining required background checks;
maintaining appropriate adult-to-youth ratios;
protecting participant and contact lists;
limiting private one-to-one communications;
avoiding unnecessary collection of sensitive information;
avoiding public disclosure of a Young User’s home, school, or routine;
obtaining permission before publishing identifiable photos or recordings;
ensuring transportation arrangements are appropriate;
identifying medical, allergy, or accessibility procedures where relevant; and
reporting suspected abuse or immediate danger to the appropriate authorities.

hyperlocal does not guarantee that a Host has completed a background check, holds a qualification, maintains insurance, or complies with safeguarding requirements unless we expressly state otherwise.

A Host must not use koinē to obtain inappropriate access to a Young User.

12. Joining and Participating in a koinē

Before joining or attending, you are responsible for reviewing:

the identity and information provided by the Host;
the purpose of the koinē;
the date and time;
the location;
the price and refund policy;
transportation arrangements;
eligibility and age restrictions;
physical requirements;
accessibility;
supervision;
equipment requirements;
venue rules; and
any material risks disclosed.

When you join or commit to a koinē, you agree to:

provide accurate participation information;
have a genuine intention to attend;
follow reasonable Host and venue instructions;
behave respectfully;
comply with applicable law;
pay disclosed amounts;
arrive and leave safely;
use appropriate equipment;
communicate promptly if you can no longer attend; and
not interfere with the experience or safety of others.

A commitment communicates an intention to participate but is not a guarantee that the Participant will attend.

Joining does not guarantee admission. Capacity, approval, payment, age, identification, skill, venue, or safety requirements may apply.

13. Recurring Groups and Memberships

Some koinēs may recur or form part of an ongoing community, group, program, or membership.

Joining a recurring koinē may allow the Host or authorized organization to:

communicate about future gatherings;
maintain a recurring participant list;
manage membership;
track attendance;
manage eligibility;
collect recurring payments where authorized; or
provide information about connected activities.

Any recurring payment, subscription, or continuing commitment must be disclosed before you agree to it.

You may leave a recurring group through available Account controls or by contacting the Host or support, subject to outstanding payments, cancellation terms, and applicable law.

14. Check-In and Attendance

The Service may use:

QR codes;
access codes;
time records;
device location;
Host confirmation;
venue confirmation;
organization confirmation;
payment or admission records; or
other verification tools

to record attendance.

You must not:

check in for another person;
allow another person to use your Account or code to check in;
share a personal access code;
falsify your location;
manipulate device or location information;
create fraudulent attendance records;
falsely mark another person present or absent;
interfere with check-in systems; or
use attendance tools to harass or unfairly target another person.

Attendance records may be used to:

confirm access;
administer payments or deposits;
manage capacity;
maintain participation history;
operate recurring groups;
resolve disputes;
detect fraud;
support safety investigations; and
generate participation or reliability-related information.

Check-in technology may occasionally be delayed, unavailable, or inaccurate.

You may request review of an attendance record by contacting koine@thehyperlocal.app.

15. Participation and Reliability Information

The Service may display or use information relating to:

commitments;
cancellations;
withdrawals;
check-ins;
verified attendance;
no-shows; and
repeat participation.

Participation or reliability information is intended to provide context and encourage follow-through.

It does not guarantee a person’s:

identity;
trustworthiness;
character;
safety;
suitability;
future attendance; or
future behaviour.

You must not use participation or reliability information to:

harass or shame another person;
unlawfully discriminate;
make an unlawful employment, housing, credit, insurance, or similar decision;
misrepresent another person’s history; or
create an unreasonable safety or reputational risk.

We may correct, limit, remove, or decline to display attendance or reliability information where appropriate.

16. Communications

The Service may allow Hosts, Participants, guests, organizations, and hyperlocal to communicate.

You agree not to use communications to:

threaten, intimidate, harass, or stalk;
send spam;
solicit unrelated business without permission;
distribute malicious links or software;
request unnecessary sensitive information;
pressure a Young User;
facilitate exploitation or abuse;
impersonate another person;
distribute private information without authority; or
engage in unlawful conduct.

Do not assume that messages sent through the Service are monitored in real time.

koinē is not an emergency communication service.

If someone is in immediate danger, contact local emergency services.

17. Photos, Videos, and Recording

Hosts and Participants may take photos, videos, or recordings at a koinē.

Unless expressly stated, hyperlocal does not control independent photography or recording by users, Hosts, venues, or organizations.

You must:

comply with applicable privacy and recording laws;
obtain permission where required;
respect reasonable requests not to be photographed or recorded;
take particular care when Young Users are present;
not publish intimate, humiliating, exploitative, or unsafe content;
not use another person’s likeness misleadingly; and
remove content where required by law or a valid direction from hyperlocal.

Hosts should clearly disclose planned commercial or organized photography before the koinē.

18. User Content

You retain ownership of your User Content.

By submitting User Content through the Service, you grant HyperLocal Technologies Corp. a non-exclusive, worldwide, royalty-free, sublicensable, and transferable licence to:

host;
store;
reproduce;
format;
adapt;
display;
communicate;
distribute; and
otherwise process

that content as reasonably necessary to:

operate and provide the Service;
display it to the audience you selected;
promote a public koinē or public profile;
maintain and secure hyperlocal OS;
investigate reports;
provide customer support;
enforce these Terms;
improve the Service; and
comply with law.

This licence does not give us ownership of your User Content.

It continues for as long as reasonably necessary to provide the Service and may continue where the content:

has been shared with other users;
remains part of a shared conversation;
is connected to an active or historical koinē;
is retained for safety, fraud, payment, or legal reasons;
has been shared outside the Service; or
has been aggregated or de-identified.

You represent that:

you own the User Content or have permission to submit it;
the content is accurate where accuracy matters;
it does not infringe another person’s rights;
it does not violate privacy or confidentiality obligations;
it is not unlawful, deceptive, or malicious; and
our permitted use will not violate another agreement.

19. Prohibited Content and Conduct

You may not use the Service to:

threaten, harass, stalk, intimidate, exploit, or abuse another person;
engage in sexual exploitation or grooming;
endanger a child or Young User;
promote hatred, violence, or unlawful discrimination;
facilitate human trafficking;
organize unlawful violence;
promote terrorism or violent extremism;
impersonate another person or organization;
create fake, fraudulent, or misleading koinēs;
misrepresent a Host, venue, price, activity, or purpose;
facilitate scams or deceptive payment activity;
manipulate attendance, capacity, waitlists, reviews, or reliability information;
collect personal information for unrelated purposes;
sell participant information;
send unauthorized commercial messages;
distribute malware or harmful code;
attempt unauthorized access;
interfere with the operation or security of the Service;
scrape, crawl, harvest, or systematically extract information without written permission;
evade restrictions, suspensions, or fees;
infringe intellectual-property, privacy, publicity, or confidentiality rights;
publish intimate content without consent;
disclose highly sensitive personal information without authority;
sell or facilitate prohibited or unlawful goods or services;
promote dangerous conduct without appropriate safeguards;
retaliate against a person who makes a good-faith report;
submit knowingly false reports; or
otherwise use the Service in a way that creates an unreasonable risk to users, hyperlocal, or the public.

We may remove content or restrict activity that we reasonably believe violates these Terms or creates a safety, legal, privacy, security, or reputational risk.

20. Real-World Safety

Real-world gatherings involve risks that technology cannot eliminate.

These risks may include:

illness;
communicable disease;
physical injury;
allergic reactions;
food or alcohol-related harm;
weather;
unsafe locations;
transportation accidents;
equipment failure;
theft;
property damage;
harassment;
assault;
misconduct;
emotional distress;
interactions with unknown people; and
acts or omissions of Hosts, Participants, venues, or third parties.

You are responsible for using reasonable judgment and deciding whether a particular koinē is appropriate for you.

You should:

meet in appropriate locations;
tell someone where you are going where appropriate;
arrange safe transportation;
review the Host and activity information;
avoid sharing unnecessary sensitive information;
follow health and safety instructions;
use suitable equipment;
disclose allergies or accommodation needs directly to the appropriate person;
leave if you feel unsafe; and
contact emergency services when needed.

Location verification, check-in, payment, identity information, or participation history does not guarantee that a person or gathering is safe.

21. No General Screening or Supervision

Unless expressly stated for a specific feature, hyperlocal does not:

conduct criminal background checks on every user;
verify every user’s identity;
confirm every user’s age;
inspect every location;
verify every Host’s licence or insurance;
supervise every koinē;
monitor every communication;
guarantee the accuracy of User Content; or
guarantee compliance by a Host or organization.

A verification badge, completed profile, attendance record, payment record, or organizational affiliation is not a guarantee of safety, identity, qualifications, or future conduct.

22. Emergency Services

koinē is not an emergency service, safety-monitoring service, medical service, or substitute for emergency assistance.

We do not continuously monitor:

messages;
check-ins;
attendance;
precise location; or
activity occurring during a koinē.

If you believe someone is in immediate danger, contact local emergency services.

After contacting emergency services, you may also report the matter to hyperlocal so that we can review relevant Accounts, content, or koinēs.

23. Health, Fitness, Professional, and Regulated Activities

A koinē may involve physical activity, food, travel, education, faith, finances, health discussions, or other specialized subjects.

Unless expressly provided by hyperlocal through a qualified professional, content available through the Service is not:

medical advice;
legal advice;
financial advice;
mental-health treatment;
professional training;
emergency advice; or
a guarantee of results.

Hosts are responsible for clearly identifying required qualifications and risks.

Participants are responsible for determining whether they are physically, legally, and practically able to participate.

Consult an appropriate professional before participating where necessary.

24. Payments

Some koinēs or Service features may require payment.

Payments may include:

tickets;
admission fees;
participation fees;
deposits;
subscriptions;
memberships;
group contributions;
service fees;
processing fees;
Host charges;
merchandise; and
applicable taxes.

The applicable amount, currency, and material payment terms should be shown before a transaction is completed.

Payments may be processed by a third-party payment provider.

By completing a transaction, you authorize hyperlocal, the Host, and applicable payment providers to process the payment and related information as described at checkout and in the Privacy Policy.

Unless expressly stated, hyperlocal does not directly store complete payment-card numbers.

You agree to:

use a payment method you are authorized to use;
provide accurate billing information;
pay all amounts you authorize;
not initiate a dishonest or abusive payment dispute; and
comply with payment-provider requirements.

25. Payments Involving Young Users

A Young User must not use another person’s payment method without authorization.

Where legally or reasonably required, a parent or guardian must approve:

purchases;
deposits;
subscriptions;
recurring payments;
Host payouts; or
other financial commitments made by a Young User.

We may reverse, restrict, or investigate a transaction where we reasonably believe:

authorization was not obtained;
the user lacked legal capacity;
the payment was fraudulent;
the transaction created an unreasonable risk; or
applicable law requires action.

26. Deposits

A Host or hyperlocal may require a deposit to:

reserve limited capacity;
support genuine commitment;
cover anticipated costs;
confirm eligibility; or
reduce preventable no-shows.

Before payment, the applicable terms should explain whether the deposit is:

refundable;
non-refundable where legally permitted;
returned after verified attendance;
applied toward the cost of the koinē;
forfeited following a late cancellation or no-show; or
handled in another disclosed manner.

You are responsible for reviewing those terms before paying.

Attendance technology may occasionally be inaccurate. You may contact support to dispute a decision involving a deposit and attendance record.

A stated deposit policy remains subject to mandatory consumer-protection law.

27. Host Payouts

Where Host payouts are offered, the Host may be required to:

provide accurate identity and payment information;
complete payment-provider verification;
provide tax information;
comply with refund obligations;
maintain sufficient funds to cover refunds, chargebacks, or disputes;
not use payouts for unlawful activity; and
comply with additional payment terms.

We may delay or withhold a payout where reasonably necessary to:

prevent fraud;
respond to a dispute;
process refunds;
comply with law;
complete verification;
address an Account restriction; or
protect Participants.

A Host is responsible for reporting and paying taxes arising from amounts received unless hyperlocal is legally required to collect, report, withhold, or remit them.

28. Cancellations and Refunds

Refund eligibility may depend on:

the policy shown before payment;
the Host’s stated cancellation terms;
the timing of cancellation;
whether the koinē was cancelled;
whether it was materially changed;
whether the Participant attended or checked in;
whether expenses were already incurred;
whether a deposit was refundable;
payment-provider rules; and
applicable consumer law.

Hosts must clearly communicate their cancellation and refund terms.

A Host should promptly notify Participants of a cancellation or material change.

Where hyperlocal directly supplies a paid service, additional cancellation or refund rights may be provided at checkout or required by law.

Except where required by law or expressly stated, hyperlocal is not responsible for reimbursing:

transportation;
lodging;
equipment;
food;
childcare;
lost wages;
missed opportunities; or
other expenses incurred in anticipation of a koinē.

Nothing in these Terms limits a cancellation, refund, credit-card, or consumer right that cannot legally be waived.

29. Taxes

Prices may be subject to applicable taxes.

Hosts are responsible for understanding their own registration, collection, reporting, and remittance obligations unless hyperlocal expressly agrees to manage a particular tax or is legally required to do so.

We may collect, withhold, report, or remit taxes where required by law.

30. Hubs, Venues, and Organizations

Some koinēs may be connected to a Hub, venue, school, business, faith community, community group, or other organization.

These parties may establish additional:

admission requirements;
safety rules;
age limits;
waivers;
codes of conduct;
payment terms;
refund policies;
photography policies; or
privacy practices.

You are responsible for reviewing additional terms provided by the relevant party.

Unless expressly stated, Hubs, venues, Hosts, and organizations are independent from hyperlocal.

The presence of an organization on koinē does not guarantee that hyperlocal endorses its activities, beliefs, staff, services, facilities, or practices.

31. Third-Party Services

The Service may integrate with or link to third-party services, including:

payment processors;
mapping services;
authentication providers;
venues;
ticketing providers;
transportation providers;
social platforms;
external websites; and
communication tools.

We do not control third-party services.

Your use of a third-party service may be governed by separate terms and privacy policies.

To the extent permitted by law, hyperlocal is not responsible for a third party’s:

availability;
content;
accuracy;
security;
conduct;
charges;
services; or
privacy practices.

32. Privacy

The koinē Privacy Policy describes how HyperLocal Technologies Corp. collects, uses, discloses, and retains personal information.

By using the Service, you acknowledge that:

koinē is integrated with hyperlocal OS;
information may support shared Accounts and authorized connected services;
participant and attendance information may be visible as described in the Privacy Policy;
location may be processed when permission is granted;
Hosts, Hubs, venues, and organizations may receive information needed to operate their koinēs; and
Young Users may receive additional privacy protections where their age is known.

These Terms do not provide consent for a use of personal information where separate or additional consent is required by law.

33. Reports and Investigations

You may report:

unsafe conduct;
harassment;
discrimination;
fraud;
impersonation;
inappropriate interactions with Young Users;
misleading koinēs;
illegal activity;
privacy concerns;
check-in manipulation;
payment scams;
exploitation;
unauthorized content; or
another suspected violation.

Reports may be submitted through available tools or to koine@thehyperlocal.app.

We may:

review available information;
request additional details;
preserve relevant records;
contact users, Hosts, venues, or organizations;
remove content;
restrict a koinē;
restrict payments;
suspend or terminate Accounts;
notify affected users;
refer a matter to an authority; or
take another reasonable action.

We are not required to disclose confidential investigation details or actions taken against another user.

You must not submit a knowingly false, malicious, or retaliatory report.

34. Moderation and Enforcement

We may use human review, technical systems, user reports, payment information, attendance data, and other relevant information to protect the Service.

We may take action where we reasonably believe:

these Terms were violated;
a user presents a safety risk;
a koinē is fraudulent or misleading;
an Account is unauthorized or compromised;
payment activity is suspicious;
a Young User may be at risk;
content infringes another person’s rights;
continued activity could expose hyperlocal or others to legal risk; or
action is required by law.

Actions may include:

warnings;
content removal;
feature restrictions;
reduced visibility;
removal from a koinē;
cancellation of a koinē;
payment holds;
refund processing;
Account suspension;
Account termination; or
referral to an appropriate authority.

Enforcement decisions may be based on incomplete or conflicting information. You may request review by contacting support.

35. Intellectual Property

The Service, including its software, design, branding, logos, interfaces, text, graphics, databases, systems, features, and documentation, is owned by or licensed to HyperLocal Technologies Corp.

Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable licence to access and use the Service for its intended purposes.

You may not, except where expressly authorized or legally permitted:

copy or reproduce the Service;
modify or create derivative works;
sell, rent, sublicense, or distribute it;
reverse engineer or decompile software;
bypass technical protections;
access non-public systems or source code;
use the Service to build a competing database or product;
remove proprietary notices; or
use hyperlocal branding without permission.

“hyperlocal,” “koinē,” associated logos, and related marks are proprietary to HyperLocal Technologies Corp. or their respective owners.

36. Copyright and Intellectual-Property Complaints

If you believe content available through the Service infringes your intellectual-property rights, contact:

Include:

your name and contact information;
identification of the protected work;
identification of the allegedly infringing content;
the location of the content;
an explanation of your rights;
a statement that the report is made in good faith; and
any other information reasonably needed to assess the report.

We may remove or restrict content while reviewing a claim.

37. Feedback

If you provide ideas, suggestions, concepts, or feedback concerning the Service, you grant us a perpetual, worldwide, irrevocable, royalty-free right to use and incorporate that feedback without compensation or obligation.

This does not transfer ownership of unrelated User Content.

38. Beta and Experimental Features

Some features may be identified as beta, pilot, test, preview, experimental, or early access.

Such features may:

change without notice;
be incomplete;
contain errors;
be unavailable;
lose data;
operate differently from the final version; or
be discontinued.

Do not rely on an experimental feature for emergency, safety-critical, financial, or legally required purposes.

39. Service Availability and Changes

We may add, change, suspend, or discontinue features.

We do not guarantee that:

the Service will always be available;
every feature will operate without interruption;
all User Content will always be preserved;
every koinē will occur;
every invitation will be delivered;
every user will attend;
check-in systems will always be accurate;
a particular Host or community will remain available; or
the Service will meet every user’s needs.

We may perform maintenance, apply security controls, or restrict access to protect users and the Service.

40. Suspension and Termination

You may stop using the Service at any time.

You may request Account deletion as described in the Privacy Policy.

We may restrict, suspend, or terminate an Account or feature where we reasonably believe:

these Terms were materially violated;
the Account presents a safety, fraud, legal, or security risk;
a user has repeatedly misused commitments, attendance, payments, or communications;
the Account was created deceptively;
the user lacks required consent or authorization;
a Young User requires additional protection;
continued access could harm another person;
the Service is being discontinued; or
we are required to act by law.

Where appropriate, we may provide notice or an opportunity to appeal.

We may take immediate action where necessary to address urgent or serious risk.

Termination does not eliminate:

completed transactions;
payment obligations;
refund obligations;
Host responsibilities;
prior licences;
legal claims; or
provisions that reasonably need to survive termination.

41. Account Deletion

Deleting an Account does not necessarily delete:

messages already delivered to other users;
shared koinē records;
transaction records;
legally required records;
safety and enforcement information;
fraud-prevention records;
information retained to resolve a dispute; or
de-identified information.

Where a koinē Account forms part of a shared hyperlocal Account, we may ask whether you want to:

delete only the koinē profile;
disconnect koinē from the shared Account; or
delete the entire shared hyperlocal Account.

Account deletion is governed by the Privacy Policy and applicable law.

42. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided on an “as is” and “as available” basis.

HyperLocal Technologies Corp. does not make a guarantee concerning:

the identity, age, character, qualifications, or conduct of a user;
the quality, safety, legality, accessibility, or accuracy of a koinē;
whether a Participant will attend;
whether a Host will perform their obligations;
whether User Content is accurate;
whether a location or venue is safe;
whether check-in technology will be error-free;
whether a payment or refund will be processed without delay;
whether a reliability indicator will accurately predict conduct;
whether the Service will be uninterrupted or error-free; or
whether every harmful user or activity will be identified.

To the extent permitted by law, we disclaim implied warranties and conditions, including merchantability, fitness for a particular purpose, title, non-infringement, and quiet enjoyment.

Nothing in these Terms excludes a warranty, condition, guarantee, right, or remedy that cannot legally be excluded.

43. Limitation of Liability

To the maximum extent permitted by law, HyperLocal Technologies Corp. and its directors, officers, employees, contractors, affiliates, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, opportunity, goodwill, or data.

To the maximum extent permitted by law, we are not responsible for loss or harm arising from:

the conduct of a Host, Participant, Hub, venue, or organization;
a koinē that is cancelled, changed, misleading, or poorly operated;
a Participant’s failure to attend;
physical injury, illness, theft, assault, property damage, or misconduct occurring in connection with an independently hosted koinē;
transportation or accommodation arrangements;
inaccurate User Content;
unauthorized photography or recording by another user;
an inaccurate check-in or reliability indicator;
a third-party service;
unauthorized Account activity caused by a user’s failure to protect their credentials; or
events outside our reasonable control.

To the maximum extent permitted by law, our total aggregate liability arising from or relating to the Service or these Terms will not exceed the greater of:

1. the platform or service fees you paid directly to HyperLocal Technologies Corp. during the 12 months before the event giving rise to the claim; and
2. CAD $100.

These limitations do not apply where liability cannot legally be excluded or limited, including where applicable for:

fraud;
wilful misconduct;
gross negligence;
death or personal injury directly caused by our negligence; or
mandatory consumer rights.

44. Indemnity

To the extent legally permitted, you agree to indemnify and hold harmless HyperLocal Technologies Corp. and its directors, officers, employees, contractors, affiliates, and agents from third-party claims, liabilities, losses, damages, penalties, and reasonable legal costs arising from:

your material violation of these Terms;
your User Content;
a koinē you create, host, or operate;
your unlawful, fraudulent, reckless, or negligent conduct;
your infringement of another person’s rights;
your misuse of participant information;
your failure to obtain a required permit, licence, consent, or authorization; or
your failure as a Host to meet payment, refund, safety, or safeguarding obligations.

This section does not require you to indemnify hyperlocal for loss caused solely by hyperlocal’s own fraud, wilful misconduct, or negligence.

Any indemnity involving a Young User applies only to the extent permitted by law and does not remove the independent responsibilities of Hosts, parents, guardians, organizations, or hyperlocal.

45. Consumer Rights

Nothing in these Terms limits or waives a right or remedy that cannot legally be limited or waived.

Depending on where you live and the nature of a transaction, you may have rights concerning:

disclosure of prices and terms;
electronic contracts;
cancellation;
refunds;
credit-card charge reversals;
unfair or deceptive practices;
recurring services; and
legal proceedings.

Where these Terms conflict with a mandatory consumer-protection law, the mandatory law will apply.

46. Resolving Concerns and Disputes

Before beginning formal proceedings, you and hyperlocal agree to make a reasonable good-faith effort to resolve the issue informally, unless immediate legal action is reasonably necessary.

the email address associated with your Account;
the relevant koinē or transaction;
a description of the issue;
relevant dates;
supporting information; and
the resolution requested.

This informal process does not prevent you from:

contacting a privacy or consumer regulator;
reporting a matter to law enforcement;
seeking urgent injunctive relief;
using a small-claims process;
bringing a proceeding where legally permitted; or
exercising a right that cannot be waived.

These Terms do not require mandatory arbitration and do not prohibit participation in a class proceeding where such a prohibition is not permitted by applicable law.

47. Governing Law and Courts

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in British Columbia, without regard to conflict-of-law rules.

Subject to mandatory consumer-protection and jurisdictional rights, legal proceedings relating to these Terms or the Service may be brought before the courts located in Vancouver, British Columbia.

If the law where you live gives you the right to bring a consumer claim in another location, these Terms do not remove that right.

48. Changes to These Terms

We may update these Terms as koinē, hyperlocal OS, and connected services evolve.

When we update them, we will:

post the revised version;
update the “Last Updated” date; and
provide additional notice where a change is material or where required by law.

We may request renewed acceptance where a change materially affects:

payments;
liability;
dispute rights;
cross-product services;
Host responsibilities;
Young Users; or
another important aspect of the agreement.

Changes will apply from their stated effective date.

Changes will not retroactively remove accrued rights or increase liability for past conduct unless permitted by law and expressly agreed.

49. General Terms

These Terms, the Privacy Policy, transaction terms shown at checkout, and additional terms expressly presented for a feature form the agreement between you and HyperLocal Technologies Corp. concerning the Service.

If there is a conflict:

1. mandatory applicable law will apply first;
2. specific transaction or feature terms will apply to that transaction or feature;
3. these Terms will apply; and
4. general informational material will apply last.

If part of these Terms is found invalid or unenforceable, that provision will be limited or removed only to the extent necessary, and the remaining provisions will continue.

Our failure to enforce a provision is not a waiver.

You may not assign these Terms without our written permission.

We may assign these Terms as part of:

a corporate reorganization;
financing;
merger;
acquisition;
sale of assets; or
transfer of the Service,

subject to applicable law.

Headings are for convenience and do not affect interpretation.

The words “including” and “includes” mean “including without limitation.”
